Oscar de la Guardia is Of Counsel at Cooper Levenson and a seasoned business attorney with 35 years of experience representing middle-market growth companies in mergers and acquisitions, financings, and other complex corporate transactions. He has structured, negotiated, and implemented corporate acquisitions and divestitures, turnarounds, joint ventures, partnerships, and other sophisticated business arrangements.
Oscar’s practice also encompasses federal and state securities matters, including private placement syndications and securities compliance and reporting. He has represented both lenders and borrowers in debt and combined debt/equity financing transactions, with a particular focus on financing secured by accounts receivable and other intangibles.
Notable recent matters include representing the buyer in a $1.3 billion acquisition of a casino property from the country’s largest publicly traded casino company, as well as serving as trustee and escrow agent in transactions involving cryptocurrencies and other digital assets.
In law school, Oscar served as Executive Editor of the Law Review. He is fluent in Spanish and regularly works with clients in both domestic and international transactions.
